Kerstin Henrich, an Of Counsel in Orrick's Düsseldorf office, is a member of the European Corporate Group. Kerstin's practice focuses on mergers and acquisitions transactions, general corporate counseling and complex arbitration matters. She also has experience in antitrust, distribution and merger control law.

Kerstin attended the Universities of Geneva (Switzerland) and Bonn, where she received her doctorate degree. Further, she attended Duke University School of Law, where she received her LL.M. degree. After her studies at Duke, she worked as a summer associate at a major U.S. law firm in Washington, D.C.

Before joining Orrick in 2010, Kerstin was a senior associate at German law firm Hengeler Mueller, where she worked in the Düsseldorf and Berlin offices.

Projects and transactions in which Kerstin has recently provided advice include the following.

  • Acquisition of photovoltaic plant in Brindisi, Puglia (Italy), by affiliate of Voigt & Coll. GmbH from Centrosolar Group AG.
  • Sale of portfolio of 45 retail properties (mostly METRO Cash & Carry wholesale-retail properties) by the main shareholders of Metro (i.e. the Beisheim, Haniel and Schmidt-Ruthenbeck family offices) to affiliates of Cerberus Capital Management L.P.
  • Sale of 36 beverage and liquor wholesale stores by EDEKA Group to Oetker Group, Veltins Group and REWE Dortmund
  • Acquisition of a 50 percent stake in Meininger Holding GmbH by Holidaybreak plc, an education, leisure and activity travel group based in the United Kingdom.
  • Sale of portfolio of 23 retail properties (mostly food retailing markets) by the shareholders of Metro to consortium of Morgan Stanley Real Estate Fund (MSREF) Global VII and Redos Real Estate.
  • Sale of Trinkgut Group, Germany's leading operator of beverage and liquor wholesale stores, to EDEKA Group
  • Sale of the majority shareholding in Sterntaler GmbH, a manufacturer of children's clothing, to Bitburger Holding GmbH.
  • Acquisition of Krombach Group, a German manufacturer of industrial valves, by Crane Co.
  • Acquisition of Groupe Staub, a French manufacturer of cookware, by Zwilling J.A. Henckels.
  • Acquisition of the manufacturer of fiber optic cable from Draka Comteq by AFL Telecommunications.
