Philipp Windemuth is a partner in the Moscow and Berlin offices. 

Mr. Windemuth is an international lawyer specializing in investment projects in the Russian Federation, with an emphasis on mergers & acquisitions, real estate and financing transactions.

Over the past 19 years, he has represented leading multinational companies and financial institutions in their investment projects in the Russian Federation and other CIS countries.

Mr. Windemuth was recognized in the 2011 edition of Chambers Global for his “prodigious expertise in Russian M&A and financing transactions.” In Legal 500 reviewers noted him as “highly acclaimed, a man of great energy who gets things done.”

Some of his notable engagements include the following.

  • Advised Industrial Investors, a leading independent Russian private equity firm, in its acquisition of a 25.5 percent interest in the Transas Group, a global company that originated in Russia in the 1990s and produces GPS devices and simulators as well as other marine and aviation industry technology for worldwide distribution.
  • Advised the Russian Corporation of Nanotechnologies (RUSNANO) in connection with its investment in Panacela LLC for the development of advanced medical products.
  • Advised Google Inc. in connection with the purchase of 100 percent of ZAO Begun and other Russian matters.
  • Advised VTB Capital in connection with the formation of an international venture capital fund for nanotechnology projects.
  • Advised a leading smartphone company in connection with commercial projects in Russia.
  • Advised a global investor in connection with its acquisition of stakes in Russian fishing companies.
  • Advised an Austrian developer on its sale of the Austrian Business Centre in St. Petersburg to the Russian Federal Energy Company.
  • Advised a Russian developer on the sale of the Citydel Business Centre in Moscow to a Russian private equity fund.
  • Advised Immoeast (Austria) in its forward financing and acquisition of shopping centre, office development and warehouse projects in Moscow and the Moscow Oblast, including the largest shopping centre in Europe.
  • Advised Giffels (Canada) in connection with the financing and development of an industrial park in the Domodedovo Region of the Moscow Oblast.
  • Advised Giffels (Canada) in connection with the sale of a land plot in the Moscow Oblast to Volvo Trucks.
  • Advised Raven Russia (UK) regarding a range of forward financing transactions for warehouse construction in the Moscow Oblast and St. Petersburg, including projects awarded the “Best Logistics Real Estate Project” prize at Moscow’s 2008 and 2009 Commercial Real Estate Awards.
  • Advised HSH Nordbank in connection with a range of financing and restructuring transactions in Russia.
  • Advised RDI Group (Russia) in connection with a joint venture with Limitless (Dubai) for a residential housing development in the Moscow Oblast.
  • Advised Siemens in its acquisition of minority stakes in OAO Electrosila and OAO Leningradski Metallurgicheski Zavod.
  • Advised Japan Tobacco in its acquisition of OAO Electronmash.
  • Advised Heidelberg Cement in its acquisitions of majority stakes in OAO Cesla and OOO Petrobeton.
  • Advised British Gas in its acquisition of a majority stake in ZAO Komi Artic Oil.
  • Advised Asahi Glass in its acquisition of a majority stake in a St. Petersburg production enterprise.
  • Advised The Coca-Cola Company in connection with its factory project in St. Petersburg and various other projects in Russia.
  • Advised McDonalds in connection with restaurant projects in St. Petersburg.
  • Advised Viking River Cruises in its acquisition of OOO Passenger Fleet from OAO North Western Shipping Company in St. Petersburg.
  • Advised OAO Promyshlennie Investori in its acquisition of a 60 percent stake in OAO Far-Eastern Shipping Company in Vladivostok.
  • Advised Glaverbel with respect to greenfield construction project in the Moscow Oblast.
  • Advised West LB in a sale of shares in YUKOS.
  • Advised the EBRD on its syndicated loans to the City of St. Petersburg and to various municipal infrastructure projects.

Prior to joining Orrick, he worked with other leading international law firms in Moscow, St. Petersburg, Berlin, New York, London and Paris.
