Orrick Hölters & Elsing announced today that it is legal advisor to Murphy & Spitz Green Capital AG in its IPO. The private equity company with investment focus on renewable energy and renewable raw materials is making a public offer of new shares in a total volume of EUR 38 million. The securities prospectus was approved by the German regulator (BaFin) on October 15, 2008. The public offer is aimed at private and institutional investors in Germany. Moreover, new shares are privately placed in other European countries. The proceeds of the IPO will be used for new investments and for the further financing of existing investments. After completion of the IPO in November, the company plans a listing on the Open Market of the Frankfurt Stock Exchange.

Orrick's legal services included the structuring of the IPO, the securities prospectus (including approval proceedings) and agreements with brokers.
